Wells & Son, Inc. dba Wells Insurance (“Agency”, “Company”, “we”, “us”, “our”), its subsidiaries and affiliates. This Agreement sets forth the legally binding terms and conditions for your use of the Site no matter how you accessed it. By accessing or using the Site in any manner, including, but not limited to, visiting or browsing the Site or contributing content or other materials to the Site, you agree to be bound by these Terms of Service. Capitalized terms are defined in this Agreement.

You may not use this Site to engage in any illegal activity. You may not use this Site to engage in conduct which is defamatory, libelous, threatening or harassing or that infringes on a third party's intellectual property or other proprietary rights. You agree that any information you provide through this Site will be truthful and accurate.

The Agency reserves the right to require a customer to change their username or answers to security questions if they are deemed inappropriate as the Agency determines in its sole and absolute discretion if usernames or answers to security questions are inappropriate. The Agency also reserves the right to deny you access to and use of this Site and its contents and materials if you violate, as the Agency may determine in its sole and absolute discretion, any provision of the Terms and Conditions of Use.

ALL INFORMATION, SERVICES, MATERIALS, SOFTWARE, CALCULATORS OR OTHER ITEMS ON THIS SITE ARE PROVIDED “AS IS” WITHOUT ANY WARRANTY OF ANY KIND, EITHER EXPRESSED OR IMPLIED, INCLUDING, BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE. THE AGENCY DOES NOT WARRANT OR GUARANTEE THAT THIS SITE WILL BE UNINTERRUPTED OR ERROR FREE. ANY RISK ARISING OUT OF USE OR PERFORMANCE OF THE INFORMATION, SERVICES, MATERIALS, SOFTWARE, CALCULATORS OR OTHER ITEMS REMAINS ENTIRELY WITH YOU. UNDER NO CIRCUMSTANCES WILL THE AGENCY BE LIABLE FOR ANY DAMAGES WHATSOEVER ARISING OUT OF THE USE OR PERFORMANCE OF THE INFORMATION, SERVICES, MATERIALS, SOFTWARE, CALCULATORS OR OTHER ITEMS.

The Agency’s Liabilities – The Agency, its officers, directors, employees, agents and service providers shall in no event whatsoever be liable to you for any punitive, direct, indirect, special, incidental or consequential damages, including any lost profits, costs of procuring substitute service or lost opportunity, even if you have notified the Agency of the possibility of such damages, or for any claims by any third parties arising out of or in any way related to the access, use or content of this Site or any linked web Site, whether such claims are brought under any theory of law or equity.

Your Liabilities – If you violate any provision of the Terms and Conditions of Use, the Agency reserves the right to seek any and all remedies available at law and in equity. You agree, at your own expense, to defend, indemnify and hold harmless the Agency from any claim or demand, including but not limited to reasonable attorneys’ fees, made or presented by a third party in connection with or arising out of your access to or use of this Site or any of its content or materials in a manner other than is expressly authorized by the Terms and Conditions of Use, your breach of the Terms and Conditions of Use, or your violation of the applicable laws or any rights of any third party.

Some portions of this Site are restricted and require authorization for access. Accessing or using these restricted areas without authorization is prohibited. Any unauthorized access or use of or unauthorized attempts to access or use restricted areas may be monitored and recorded and any information thus obtained may be provided to law enforcement as part of any investigation or prosecution of possible criminal activity on this system. If you are an authorized user of any restricted area, you are responsible for maintaining the security/confidentiality of your password. DO NOT SHARE YOUR PASSWORD WITH ANYONE. The Agency will not be responsible for losses or damages resulting from your failure to properly secure your password or the sharing of your password with others.

All logos and graphics using the Agency’s name are the intellectual property of and/or federally registered trademarks/servicemarks owned by the Agency and its affiliated organizations. The Agency may possess intellectual property rights in other similar logos, words, or phrases not specifically mentioned here. Intellectual property rights of third parties may apply where noted. Except where otherwise indicated, all materials on this Site including but not limited to graphics, text, software, audio, video, and files, are the property of the Agency and are protected by copyright or other intellectual property laws.

The Agency reserves all rights to its intellectual property. You may print out a single copy of pages on this Site for your personal, non-commercial use provided that all copyright, trademark or other notices are retained. ALL OTHER USES ARE PROHIBITED.

You are not authorized to use any portion of this Site or any other Agency intellectual property on any other Site, in the meta-tags of any other Site or in any other materials. You may not modify, publish, create derivative works, copy, distribute, or otherwise use any of this Site's content or frame this Site within any other Site.

The Site and its original content, features and functionality are owned by the Agency and are protected by international copyright, trademark, patent, trade secret and other intellectual property or proprietary rights laws.

We may terminate your access to the Site, without cause or notice, which may result in the forfeiture and destruction of all information associated with you. All provisions of this Agreement that by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

Our Site may contain links to other internet Sites that are not owned, controlled, or maintained by the Agency. The Agency assumes no responsibility for the content, privacy policies, or practices of any third-party Sites or services. We strongly advise you to read the terms and conditions and privacy policy of any third-party Site that you visit.

You should not interpret any link to/from other Sites as indicating that the Agency sponsors or endorses the Sites or their materials or that the Sites are affiliated with the Agency in any manner. The Agency is not responsible for anything contained on such Sites and makes no warranties or representations about the contents, products, or services offered on such Sites. The Agency is not responsible for and makes no warranties or representations about the content, products or services offered on any Sites that you may elect to use in connection with this Site.

The Agency provides insurance products and services in the United States. The home office is located in Wilmington, North Carolina, with local Agency offices staffed in New Hanover and Brunswick counties.

You may not be eligible for all products and services, and the Agency reserves the right to determine such eligibility as permitted by law. Where noted, certain products or services may be subject to specific terms, conditions, representations or agreements. The portions of this Site related to such products and services provide additional information about terms, conditions, representations, agreements, eligibility and availability.

E-Bill: Several of the insurance carriers that the Agency represents offer E-Bill options. The terms and conditions of E-Bill and/or premium financing services will be supplied to you by your insurance carrier and/or premium finance provider, and you are responsible for making timely premium payments to ensure continuous coverage. You are responsible for the payment of any hard copy (paper) bills you receive, even if E-Bill has been set up. E-Bill enrollment options must be selected individually for each registered policy.

E-Sign: E-Sign options are offered by the Agency and several of the insurance carriers that the Agency represents. The terms and conditions of any available E-Sign options will be supplied to you by the Agency or your insurance carrier, and you are responsible for electronically signing any and all documents supplied to you electronically in a timely manner. You are responsible for signing any supplied hard copy (paper) documents and promptly returning them, even if E-Sign has been offered.

These Terms and Conditions of Use apply to your use of this Site and do not change or alter any other contract or agreement between you and the Agency.

These Terms of Use shall be governed by and interpreted according to the laws of the State of North Carolina without respect to any conflict of laws provisions. If any portion of these Terms of Use is unlawful, void or unenforceable, it shall not affect the validity or enforceability of any other provision.

The content of this Site and of these Terms of Use are subject to change without prior notice. We reserve the right, at our sole discretion, to modify or replace these Terms of Service by posting the updated terms on the Site. Your continued use of the Site after any such changes constitutes your acceptance of the new Terms of Service.
